Terms of Service

These Terms of Service ("Terms") govern access to and use of Nexora (the "Service"), published by Amira M. as an independent project currently in development, based in Lille, France. Nexora is in beta: features, availability, and these Terms may change. The publisher is identified in our Legal Notice. The Service is offered primarily in English to international users. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Nexora is a web application that helps you define goals, generate structured plans (including AI-assisted content), track tasks, and monitor progress. Features may differ between Free and Pro tiers. We may change, suspend, or discontinue parts of the Service with reasonable notice where practicable.

2. Your responsibility

You are solely responsible for how you use Nexora and for any decisions or actions you take based on information in the Service—including AI-generated plans, suggestions, or text. You must provide accurate account information, safeguard your credentials, and promptly notify us if you suspect unauthorized access (see contact details in the Legal Notice).

3. Acceptable use

You agree not to:

Use the Service unlawfully, to infringe others' rights, to harass, or to distribute malware or harmful code.
Attempt to probe, scan, or test the vulnerability of our systems or third-party providers without authorization.
Reverse engineer or circumvent technical or usage limits except where mandatory law allows.
Resell, sublicense, or redistribute the Service without our written agreement.
Use the Service to build a competing product through systematic scraping, bulk extraction, or automated misuse of APIs or interfaces.

4. Free and Pro subscriptions

Nexora may offer a Free tier and a paid Pro subscription. During beta, no real payments are processed. Stripe may be used in test mode only for payment flow testing; you will not be charged real money through the Service until we announce otherwise. When paid plans go live, fees, billing cycles, taxes, and renewal rules will be presented at checkout. Paid subscriptions will be processed by Stripe; we do not intend to store your full payment card details on our own servers. If you cancel, access to paid features ends according to the billing rules shown at purchase and applicable law.

5. AI-generated content and no guarantee of results

Parts of the Service use artificial intelligence (via OpenAI or similar providers we may use from time to time) to generate plans and related text. AI output may be incomplete, inaccurate, or unsuitable for your situation. Nexora does not guarantee any particular outcome, productivity gain, or business result. You remain responsible for verifying information and for compliance with laws and contracts that apply to you.

6. Intellectual property

We retain all rights in the Service, branding, and underlying software. You retain rights in content you submit. You grant us a limited licence to host, process, and display your content solely to operate and improve the Service for you.

7. Disclaimers

The Service is provided "as is" and "as available" to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation.

8. Limitation of liability

To the maximum extent permitted by applicable law (including mandatory provisions under EU law where they apply), our aggregate liability arising out of or related to the Service shall not exceed the amounts you paid us for the Service in the twelve (12) months before the claim, or one hundred euros (€100) if you had no fees in that period. We are not liable for indirect, incidental, special, consequential, or punitive damages, subject to non-waivable rights.

9. Suspension and termination

We may suspend or terminate access for breach of these Terms or where required by law. You may stop using the Service at any time. Provisions that by nature should survive will survive termination where enforceable.

10. Governing law and disputes

These Terms are governed by the laws of France, without regard to conflict-of-law rules that would apply another law. Mandatory consumer protections in your country of residence remain unaffected. Courts with jurisdiction under applicable law shall have venue.

11. Changes

We may update these Terms by posting a revised version and updating the "Last updated" date. Material changes will be communicated through the Service or by email where appropriate. Continued use after the effective date constitutes acceptance of the updated Terms.
